How many treasury shares am I allowed to hold as a Swiss share company?

According to the Swiss Code of Obligations, article 659, a Swiss share company can purchase up to 10 percent treasury shares. If the acquisition is connected with a restriction on transferability or an action for dissolution, the foregoing upper limit is 20 per cent. The shares that exceed the threshold of 10 per cent must be sold or cancelled by means of a capital reduction within two years. Please note that if the company reports their financial results under International Financial Reporting Standards (IFRS) the company may want to opt out from repurchasing shares to avoid a balance sheet impact, but rather tries to find a purchaser, e.g., from the existing shareholders.
